Legal & Operating Structure

Clear identity. Clear accountability. Clear public position.

This page explains how D’Key Civic is presented publicly, the current dormant-company position and the controls required before future formal activity. It is intended to prevent confusion between initiative activity, company status and authority to contract or receive money.

Purpose

Why this page exists

Community work should be clear about who is responsible for delivery, decisions, communication, records and public-facing claims. This page supports that clarity.

Legal status

Company status

Carlton Dwayne Michael Mclawrence Ltd is a private company limited by guarantee without share capital, registered in England and Wales under Company No. 15913309. At publication of this version, it is maintained as dormant and is not presented as currently trading through D’Key Civic.

Public initiative

Public-facing position

D’Key Civic is the public-facing community initiative name used for programmes, events, family support routes, public information and local partnership work.

Future contracting

Authority and counterparty control

The company must not be treated as an active counterparty unless a specific arrangement confirms that it has been activated and the necessary banking, accounting, tax and approval controls are in place. This website does not itself create contracting or payment authority.

Financial boundary

Money and charity clarification

D’Key Civic is not a registered charity. No sponsorship, donation, ticketing or commercial payment route should be treated as authorised through the company while it remains dormant. Any future arrangement requires documented approval and appropriate financial controls.

Governance position

Governance position

D’Key Civic applies published governance, record-keeping and accountability controls as a public-facing initiative. Carlton Dwayne Michael Mclawrence Ltd remains the intended framework for future formal activity, subject to activation and appropriate professional controls. Public-facing policies on safeguarding, privacy, accessibility and concerns handling support transparency and proportionate assurance.

Ecosystem separation

Related branches remain operationally distinct

D’Key Civic forms part of the wider D’Key ecosystem by shared founder context. That relationship does not merge initiative records, finances, approvals or responsibilities with the Republic of D’Key, D’Key Association, Academy of D’Key, D’Key Digital or D’Key Advanced Studies. No other branch is authorised to contract or receive funds for Civic activity unless expressly documented.
